4. Confidential Information” shall mean any User Content which is expressed to be confidential together with all information of whatever nature and in whatever form, format or medium, relating to us, or the Users, features of the Platform, any pricing terms, reports provided by the Platform or any information which is directly or indirectly in connection to or disclosed in relation to the Platform or any information on the Platform whether or not such information is marked as being confidential or proprietary and which is, by its nature, confidential. Confidential Information will not include information which: (a) at the time of receipt is in the public domain or is independently developed without using the Confidential information; (b) subsequently comes into the public domain through no fault of You, Your directors, officers, employees or agents; (c) You can prove was already in Your possession at the time of disclosure to You and was not obtained directly or indirectly from Platform; (d) You can prove has been lawfully received by you from a third party on an unrestricted basis without breach of any confidentiality provisions. The Confidential Information shall be used only for the purpose of understanding the possibility of a transaction between the Users (as defined in Terms of Use) (“Purpose”).

5. You undertake to: (a) ensure that the Confidential Information remains confidential at all times and is disclosed only on ‘need to know basis’ and is kept secure and protected against theft, damage, loss or unauthorised access; (b) not at any time use, disclose, exploit, copy or modify any of the Confidential Information other than as necessary in connection with the Purpose; (c) keep the Confidential Information physically separate from Your own information (and any third party's information held by You); (d) not use, reproduce, translate or store any of the Confidential Information in any externally accessible computer or electronic information system; (e) not remove any proprietary notices embodied in the Confidential Information; and (f) without prior written consent, not to disclose to any person the Confidential Information nor the fact that you have received the Confidential Information.

6. THE CONFIDENTIAL INFORMATION IS MADE AVAILABLE TO YOU IS ON "AS IS" AND “AS AVAILABLE” BASIS. AS SUCH, THE SAME SHALL NOT BE CONSTRUED TO MAKE IMPLICIT REPRESENTATIONS OR WARRANTIES OR CREATE ANY LIABILITIES ON THE COMPANY WITH REGARDS TO ITS ACCURACY, COMPLETENESS OR USEFULNESS.
